Terms of Service

These Terms of Service (the “Terms”) form a binding agreement between you and ChatSwap(“ChatSwap”, “we”, “us”) governing your use of the chatswap.ai website, the public REST API, the MCP server, and any related software (collectively the “Service”). By accessing or using the Service you agree to be bound by these Terms. If you don't agree, do not use the Service.

We may update these Terms from time to time. Material changes will be announced via the homepage and/or by email to the address on file. Continued use of the Service after a change constitutes acceptance of the updated Terms.

You must be at least 18 years old and able to form a legally binding contract in your jurisdiction. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

ChatSwap is a discovery and matching platform. We help users post listings of items they want to sell, post wants for items they're looking to buy, find each other based on those records, and communicate directly. We do not own, sell, ship, store, inspect, authenticate, or appraise any item.

ChatSwap is not a party to any transaction between users. We do not hold funds, process payments, provide escrow, or guarantee delivery, condition, authenticity, or identity. All transactions take place directly between you and the other user. Any contract for the sale of an item is solely between the buyer and seller.

You can browse the Service without an account. Posting a listing or want, accepting deals, and messaging other users require a verified account. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately if you suspect unauthorized access.

You must provide accurate information at signup. Pretending to be someone else, registering on behalf of someone without authorization, or creating multiple accounts to evade restrictions are all violations of these Terms.

“User Content” means anything you submit to the Service — listings, wants, descriptions, photos, messages, profile fields, and so on. You retain ownership of your User Content, but you grant ChatSwap a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, translate, and create derived data from your User Content (including embeddings used for semantic search) for the purpose of operating and improving the Service and exposing it through our public APIs and federation network.

You represent and warrant that you own or have all rights necessary to grant this license, and that your User Content does not violate any law or third-party right.

You may not post, request, or transact in any of the following: weapons, ammunition, or explosives; illegal drugs or drug paraphernalia; stolen goods or counterfeit items; regulated wildlife or wildlife products; living animals; human remains, organs, or fluids; tobacco or alcohol where prohibited; sexually explicit material; hate speech, threats, or content depicting violence; medical devices, prescription medication, or supplements requiring regulatory approval; securities, currency, gift cards, or other financial instruments; anything you do not have the legal right to sell or transfer; anything in violation of applicable law in your jurisdiction or the buyer's.

You also may not: scrape the Service in violation of our robots.txt or rate limits where set; post spam, deceptive listings, or off-platform solicitations; manipulate matches, prices, or reputation; harass, threaten, or impersonate others; circumvent technical protections; reverse engineer, modify, or use the Service to build a competing product outside the bounds of our open-source license; use the Service to violate any law.

We may remove any content and suspend or terminate any account that violates these Terms, in our sole discretion, with or without notice.

When you accept a deal proposed on the Service, you commit to negotiate in good faith with the counterparty to complete the transaction at the proposed price (or another mutually agreed price). ChatSwap does not enforce this commitment, hold funds, or arbitrate disputes. Use common sense: meet in public places for in-person exchanges, verify the item, and use payment methods you trust.

You are solely responsible for: (a) the accuracy of your listings and wants; (b) compliance with all tax obligations resulting from any transaction; (c) verifying the identity, claims, and conduct of any counterparty; (d) completing or declining any transaction; (e) any dispute that arises from a transaction. ChatSwap will not be liable for losses, damages, or claims arising out of any transaction.

ChatSwap is designed to interoperate with other instances of the Service and with third-party AI agents. Listings you post may be pulled into approved federated instances (each governed by its own terms), and may be retrieved by AI agents through our public REST API and MCP server. By posting, you understand that your listings will be discoverable across the federation network and queryable by automated agents.

If you act on behalf of another user — for example by integrating an AI agent with a Personal Access Token — you are responsible for that agent's actions on the Service as if you took them yourself. We are not responsible for the conduct of AI agents or third-party applications that consume our APIs.

The Service is currently free to use. We reserve the right to introduce optional paid features (verified seller badges, promoted listings, premium tiers) in the future, at which time additional terms governing fees will apply and you will be notified before any charges occur.

Our handling of personal information is described in the Privacy Policy, which is incorporated by reference into these Terms.

ChatSwap, the chatswap.ai trademark, and all software, design, and content other than User Content are owned by us or our licensors. The chatswap codebase is open-source under the MIT License; that license governs your rights with respect to the code itself. These Terms govern your use of the hosted Service at chatswap.ai.

If you believe content on the Service infringes your copyright, send a notice to copyright@chatswap.ai including: identification of the work; identification of the allegedly infringing material with URL; your contact information; a statement of good-faith belief; a statement under penalty of perjury that you are authorized to act; and your physical or electronic signature. We will respond consistent with the Digital Millennium Copyright Act.

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, ChatSwap disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, and availability. We make no warranty that the Service will be uninterrupted or error-free, that listings are accurate or authentic, that counterparties are who they claim to be, or that any transaction will result in a satisfactory exchange.

To the fullest extent permitted by law, ChatSwap, its officers, employees, agents, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of the Service or any transaction conducted through it, even if advised of the possibility of such damages.

In no event will ChatSwap's aggregate liability to you under these terms exceed the greater of (a) one hundred United States dollars ($100) or (b) the amount you have paid us in the twelve months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases the limitations above will apply to the fullest extent permitted by law.

You agree to defend, indemnify, and hold harmless ChatSwap and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your User Content; (b) your use of or conduct on the Service; (c) any transaction you participate in; (d) your violation of these Terms or any law; (e) your violation of any third-party right.

You may delete your account at any time from your profile settings, or by contacting support@chatswap.ai. We may suspend or terminate your access at any time for any reason, including violation of these Terms. Sections that by their nature should survive termination — including content license, disclaimers, limitation of liability, and indemnification — will survive.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. You and ChatSwap consent to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, United States for any dispute that is not subject to arbitration, where applicable.

Note: many U.S. consumer marketplaces include a binding arbitration / class-action waiver clause here. Whether to add one is a strategic choice with real tradeoffs and should be decided with counsel.

These Terms are the entire agreement between you and ChatSwap regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms; we may assign them in connection with a merger or sale of assets.
